   2                        LC SOFTWARE LICENSE AGREEMENT

   4    1.  GENERAL:  THIS  LICENSE AGREEMENT SHALL GOVERN THE USE BY YOU (THE
   5    "LICENSEE")  OF  THE  CRAY  INC.  ("CRAY")  LC  ELECTRO-MAGNETIC FIELD
   6    ANALYSIS   SOFTWARE  THAT  YOU  OBTAIN  THROUGH  THIS  WEB  SITE  (THE
   7    "SOFTWARE"), AND THE ACCOMPANYING DOCUMENTATION (THE "DOCUMENTATION").
   8    THIS  LICENSE  AGREEMENT  REPRESENTS THE ENTIRE AGREEMENT BETWEEN CRAY
   9    AND  LICENSEE  CONCERNING  THE  COPY OF THE SOFTWARE AND DOCUMENTATION
  10    THAT  LICENSEE  OBTAINS  THROUGH  THIS WEB SITE, AND IT SUPERSEDES ANY
  11    PRIOR  PROPOSAL,  REPRESENTATION, OR UNDERSTANDING BETWEEN THE PARTIES
  12    WITH  RESPECT  TO  THAT  COPY  OF  THE  SOFTWARE AND DOCUMENTATION. NO
  13    LICENSEE  PURCHASE ORDER OR OTHER COMMUNICATION SHALL BE CONSTRUED AS,
  14    OR  CONSTITUTE,  A  WAIVER OF THE TERMS AND CONDITIONS OF THIS LICENSE
  15    AGREEMENT,  OR  ACCEPTANCE  OF  ANY  ADDITIONAL  TERMS,  CONDITIONS OR
  16    SPECIFICATIONS,  AND  CRAY  HEREBY  OBJECTS  TO ANY SUCH ADDITIONAL OR
  17    CONTRARY TERMS, CONDITIONS OR SPECIFICATIONS.

  19    2.  TERM: This License Agreement is effective upon installation of the
  20    Software.  This  License  Agreement shall automatically terminate upon
  21    the  breach  by Licensee of any term hereof. In addition, Licensee may
  22    terminate  this  License  Agreement  at  any time. Upon termination or
  23    expiration  of  this  License  Agreement,  Licensee  shall destroy all
  24    copies  of  the  Software  and Documentation in Licensee's possession.
  25    Licensee's   obligations,   Cray's   warranty   disclaimers   and  the
  26    limitations  of  Cray's  liability  under this License Agreement shall
  27    survive any termination of this License Agreement.

  29    3.  LICENSE: Cray grants, and Licensee accepts, a non-transferable and
  30    non-exclusive  license  to  use the Documentation, and the Software in
  31    object code form only, subject to all the terms and conditions of this
  32    License  Agreement.  The  Software is licensed for Licensee's internal
  33    use  only.  Licensee may make one copy of the Software and any on-line
  34    Documentation   for  back-up  or  archival  purposes.  Licensee  shall
  35    reproduce  in  that  copy  all proprietary and restrictive notices set
  36    forth  in  the  Software  and  Documentation. No other rights to copy,
  37    sublicense  or  distribute  the Software or Documentation are granted.
  38    All  rights  not  specifically  granted  to  Licensee  by this License
  39    Agreement  shall  remain  in  Cray.  Licensee  acknowledges  that  the
  40    Software  and  Documentation  are proprietary products of, and contain
  41    proprietary  information  developed  by  Cray,  and  shall  remain the
  42    property   of   Cray.   Licensee  shall  not  disclose  the  Software,
  43    Documentation   or  any  information  contained  in  the  Software  or
  44    Documentation.  Licensee  shall use the same degree of care to prevent
  45    such disclosure as Licensee uses to protect Licensee's own information
  46    of  like  importance, but at least reasonable care. Licensee shall not
  47    modify   the   Software,  or  attempt  to  decompile,  cross  compile,
  48    disassemble,  reverse  engineer,  or use any other means to decode the
  49    Software.

  51    4.  WARRANTY  AND  LIMITATION  OF  LIABILITY:  THE  SOFTWARE  AND  THE
  52    DOCUMENTATION  ARE  PROVIDED  "AS  IS",  AND  ALL  EXPRESS AND IMPLIED
  53    WARRANTIES,   INCLUDING  THE  IMPLIED  WARRANTIES  OF  FITNESS  FOR  A
  54    PARTICULAR  PURPOSE AND MERCHANTABILITY, AND FREEDOM FROM VIOLATION OF
  55    THIRD  PARTY  INTELLECTUAL  PROPERTY  RIGHTS, ARE HEREBYEXCLUDED. CRAY
  56    WILL  NOT  BE  LIABLE  IN  ANY  EVENT  FOR ANY CONSEQUENTIAL, SPECIAL,
  57    INCIDENTAL,  OR  INDIRECT DAMAGES ARISING OUT OF OR IN CONNECTION WITH
  58    THE  PERFORMANCE  OF  THE SOFTWARE OR ITS USE BY LICENSEE OR ANY OTHER
  59    PERSON,  OR  ANY FAILURE OF CRAY IN THE PERFORMANCE OF ITS OBLIGATIONS
  60    UNDER  THIS  LICENSE  AGREEMENT  (INCLUDING  LIABILITY FOR NEGLIGENCE)
  61    EXCEPT FOR THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF CRAY.

  63    5.  APPLICABLE  LAW: This License Agreement is governed by the laws of
  64    the  State  of  California, excluding the United Nations Convention of
  65    the  International  Sale  of  Goods,  and  without  reference  to  its
  66    provisions on the conflicts of laws.

  68    6.  INDEMNIFICATION:  Licensee  agrees  to  indemnify  and  hold  Cray
  69    harmless  in  respect  to  any and all claims of or liability to third
  70    parties  arising  from  the  use  of the Software or the output of the
  71    Software.

  73    7.  EXPORT:  Licensee  shall  not  dispose  of any software, know-how,
  74    technical  data,  documentation  or  other  materials  furnished to it
  75    pursuant  to  this  License  Agreement,  to any party or in any manner
  76    which  would  constitute a violation of the export control laws of the
  77    United States.

  79    8.  RESTRICTED  RIGHTS  LEGEND: If the Software is acquired for use by
  80    the US Government, such use shall be subject to "Restricted Rights" as
  81    that  term  is defined in the Federal Acquisition Regulations ("FAR"),
  82    Part  52.227-14  and  the  DoD  FAR  Supplement, Part 252.227-7013, as
  83    augmented by this License Agreement.

  85    9. GENERAL: Licensee shall not assign or otherwise transfer its rights
  86    or  obligations under this License Agreement without the prior written
  87    consent  of  Cray.  No  failure  by either party to take any action or
  88    assert  any right under this License Agreement shall be deemed to be a
  89    waiver of such right in the event of the continuation or repetition of
  90    the  circumstances  giving rise to such right. No modification of this
  91    License  Agreement  shall  be  binding on either party unless it is in
  92    writing and signed by both parties.

  94    In  the  event  that any of the terms of this License Agreement are in
  95    conflict with any applicable rule of law or statutory provision or are
  96    otherwise  unenforceable  under  the applicable laws or regulations of
  97    any  government  or  subdivision  thereof,  such terms shall be deemed
  98    stricken   from   this  License  Agreement,  but  such  invalidity  or
  99    unenforceability  shall  not invalidate any of the other terms of this
 100    Agreement  and  this  Agreement  shall  continue  in force, unless the
 101    invalidity  or  unenforceability  of  any  such provisions hereof does
 102    substantial  violence  to,  or  where  the  invalid  or  unenforceable
 103    provisions  comprise an integral part of, or are otherwise inseparable
 104    from, the remainder of this License Agreement.
